1Acceptance of Terms
Welcome to HelpStack. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HelpStack ("Company," "we," "us," or "our") regarding your use of our HelpStack platform, including all associated services, features, and content (collectively, the "Service").
By accessing, browsing, or using HelpStack, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service. Your continued use of the Service constitutes your acceptance of these Terms and any future modifications.
The Company reserves the right to modify these Terms at any time. We recommend reviewing this page periodically for updates. Significant changes will be communicated via email or prominent notice on our platform.
2Service Description
HelpStack is an AI-powered platform that consolidates messages from multiple communication channels including Facebook Messenger, Instagram Direct Messages, Email, and web chat widgets into a unified interface.
The Service includes:
- Multi-channel message aggregation and management
- AI-powered reply suggestions and automation
- Automatic message translation across multiple languages
- Team collaboration and conversation assignment features
- Analytics and reporting dashboard
- Embeddable chat widgets for websites
The Service is provided on an "as-is" basis. We continuously improve the Service but make no warranties regarding uninterrupted availability or specific results.
3User Accounts
To use HelpStack, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to: (a) provide truthful and complete registration information; (b) maintain the security of your password; (c) immediately notify us of any unauthorized access; and (d) accept responsibility for all activities under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior. Organizations may assign multiple users with different permission levels (Owner, Admin, Agent, Viewer). Account owners are responsible for managing user access and ensuring compliance.
4Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Engage in harassment, discrimination, or hate speech
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems
- Interfere with the Service's operation or access by others
- Collect or use personal data without proper consent
- Engage in spam, phishing, or fraudulent activities
- Use the Service for illegal purposes or to facilitate illegal activity
- Reverse engineer, decompile, or attempt to discover the Service's source code
- Violate intellectual property rights of any third party
Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account, without refund of any fees paid.
5Payment Terms
HelpStack offers various subscription plans. Pricing, features, and renewal terms are displayed at the time of purchase and in your account settings.
Payment: You agree to pay all fees according to the plan you select. Billing cycles are monthly or annual, as chosen. Payment is processed via our payment processor.
Recurring Billing: Your subscription will automatically renew at the end of each billing cycle unless you cancel. We will notify you before each renewal.
Cancellation: You may cancel your subscription anytime through your account settings. Cancellation is effective at the end of your current billing cycle. No refunds are provided for unused portions of your subscription.
Failed Payments: If payment fails, we will attempt to collect using the payment method on file. Accounts with failed payments may be suspended until payment is received.
6Intellectual Property
Service Content: All content, features, functionality, design, and underlying technology of HelpStack, including logos, trademarks, source code, and documentation, are owned by HelpStack or licensed from third parties and protected by copyright, trademark, and other intellectual property laws.
Your Content: You retain all rights to content you create or upload ("User Content"). By using HelpStack, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process User Content to provide the Service, including AI-powered features.
License Grant: We grant you a limited, non-exclusive, non-transferable license to use the Service solely for your business purposes, in accordance with these Terms. You may not sublicense, sell, or distribute access to the Service.
You agree not to remove, obscure, or alter any proprietary notices, labels, or marks in the Service.
7Limitation of Liability
Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELPSTACK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Cap on Liability: OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow disclaimers of implied warranties or limitations of liability. In such cases, the above limitations will be applied to the maximum extent permitted by applicable law.
8Termination
Your Right to Terminate: You may terminate your account and subscription at any time by providing written notice or through your account settings. Termination is effective at the end of your current billing cycle.
Our Right to Terminate: We may terminate or suspend your account immediately if: (a) you breach these Terms; (b) you engage in illegal activity or violate third-party rights; (c) you pose a security risk; or (d) we are required to do so by law.
Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your account data after a retention period. Fees paid are non-refundable except as required by law.
Sections regarding intellectual property, limitation of liability, and other terms that by their nature should survive termination will continue in effect.
9Changes to Terms
HelpStack may modify these Terms at any time. We will notify you of material changes via email or prominent notice on our platform. Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.
If you do not agree with any changes, you may terminate your account. For significant changes, we will provide at least 30 days' notice before the changes take effect.

Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which HelpStack is registered, without regard to its conflict of law provisions.
Dispute Resolution
Any disputes arising from these Terms or the Service will first be subject to informal resolution attempts. If informal resolution fails, disputes shall be resolved through arbitration or litigation as permitted by applicable law.
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and HelpStack regarding your use of the Service and supersede all prior and contemporaneous agreements, whether written or oral.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
Waiver
Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.
